Independent Contractor Notice

Vendors are independent contractors and are not employees of Nexum Contracting Systems. No employment relationship is created through project assignments.

Verified completion of all contracted services is required before payment is processed.

Non-Circumvention
Non-Circumvention Policy
Vendors introduced to contracts, clients, leads, or opportunities through Nexum Contracting Systems may not bypass Nexum to work directly with those clients or opportunities.
This policy protects the business relationships Nexum has developed and ensures fair, transparent dealings for all parties involved.

Confidentiality Requirements
Client Information
All client data, contact details, and project specifics must remain strictly confidential at all times.
Pricing & Terms
Contract pricing, rates, and negotiated terms are proprietary and must not be disclosed to third parties.
Internal Processes
Nexum's internal workflows, systems, and operational processes are confidential business information.
Compliance
Insurance & Regulatory Compliance
Required Coverage
Depending on project scope, vendors may be required to maintain:
General liability insurance
Workers' compensation (where applicable)
Valid licenses and permits
Quality Control
Nexum reserves the right to inspect work quality and request corrections at any time. Vendors may be removed from future opportunities for poor performance or misconduct.
Failure to maintain required insurance, licensing, or regulatory compliance may result in removal from Nexum's vendor network.
Limitation of Liability
Limitation of Liability
Nexum Contracting Systems is not liable for vendor negligence, damages caused by vendors, or losses resulting from a vendor's failure to perform.
Vendor Negligence
Vendors bear full responsibility for negligent acts or omissions during project execution.
Damages
Any damages caused by vendor actions or inactions are the sole liability of the vendor.
Non-Performance
Losses resulting from a vendor's failure to perform are not the responsibility of Nexum.
Policy Updates
Policies May Be Updated at Any Time
Nexum Contracting Systems reserves the right to update, revise, or modify these policies at any time without prior notice. It is the vendor's responsibility to stay informed of current terms.
Continued participation in Nexum opportunities constitutes acceptance of the current terms and policies in effect at that time.
Your Acceptance
By continuing to work with Nexum after any policy update, you agree to be bound by the revised terms.
